1. AGREEMENT ACCEPTANCE AND MODIFICATIONS

Terms and Conditions – 1.1 Legal Agreement

These Terms and Conditions (“Agreement”) constitute a legally binding contract between you (“Patient,” “User,” or “you”) and Highland Primary Care, a physician-owned primary care practice operating in Texas (“Company,” “we,” “us,” or “our”).

Terms and Conditions – 1.2 Services Covered

This Agreement governs:

  • Your use of our website
  • In-person and telemedicine consultations and clinical services
  • Prescription and medication management
  • Patient portal access
  • All communications with our clinical and administrative staff

1.3 Acceptance

By accessing our website, scheduling an appointment, or using our services, you affirmatively agree to be bound by all terms, conditions, and policies contained herein, as well as our Privacy Policy.

If you do not accept these terms, you must immediately cease using our services and website.

1.4 Modifications

We reserve the right to modify these Terms at any time. Modified terms become effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms. We recommend reviewing this Agreement periodically for changes.

2. ELIGIBILITY AND PATIENT REQUIREMENTS

2.1 Age and Legal Capacity

You represent and warrant that:

  • You are at least 18 years of age (or accompanied by a parent/guardian for minors)
  • You have full legal capacity to enter into this Agreement
  • You are not under guardianship or legal incapacity
  • You are not prohibited by law from receiving the services we provide

2.2 Medical Eligibility

Our services are available to patients who:

  • Are able to participate in consultations (in-person or virtual)
  • Provide complete and accurate medical history
  • Are able to receive and understand medical advice
  • Do not have medical conditions requiring emergency evaluation

3. HEALTHCARE CONSULTATIONS AND SERVICES

3.1 Service Description

Highland Primary Care provides comprehensive primary care services including but not limited to:

  • Preventive care and wellness visits
  • Management of chronic conditions
  • Acute care for short-term illnesses
  • Mental health services
  • Medical weight loss
  • Elderly care
  • Men’s health services
  • Nutrition counseling
  • Telemedicine consultations

All services are provided by licensed practitioners licensed in the state of Texas.

3.2 Treatment Recommendations

Our practitioners will only recommend treatments that are medically appropriate for your specific condition, have been evaluated based on your medical history, are supported by clinical evidence, align with your stated health goals, and that you have consented to after full discussion of benefits, risks, and alternatives.

4. MEDICAL CONSULTATION LIMITATIONS

4.1 Not Emergency Care

IMPORTANT: Our consultations are not appropriate for emergency medical conditions. If you experience severe chest pain, difficulty breathing, signs of stroke, severe allergic reactions, uncontrolled bleeding, loss of consciousness, or any other life-threatening emergency, YOU MUST CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY.

Highland Primary Care cannot provide emergency care and does not replace emergency medical services.

4.2 Limitations of Telemedicine

You understand that telemedicine consultations have inherent limitations: we cannot perform physical examinations beyond what a patient can self-report, diagnosis accuracy depends on honest and complete medical history, some conditions may require in-person evaluation, and technical issues may affect consultation quality.

5. YOUR RESPONSIBILITIES AS A PATIENT

5.1 Medical Honesty and Accuracy

You agree to provide complete and accurate medical history, disclose all current medications, supplements, and substances, report all relevant medical conditions and allergies, inform us of any changes in health status, and honestly report symptoms and treatment response.

5.2 Following Medical Advice

You are responsible for reading and understanding all medication instructions, following prescribed treatment protocols as directed, reporting side effects or treatment concerns, attending follow-up consultations as recommended, and obtaining recommended lab work and testing.

5.3 Communication and Contact Information

You agree to keep your contact information current and accurate, respond to appointment reminders and clinical communications promptly, and notify us of changes to phone number, email, or address.

6. FEES, PAYMENTS, AND BILLING

6.1 Consultation and Treatment Fees

Fees for consultations and treatments vary based on the complexity of your case, type of treatment, frequency of monitoring required, and additional testing or assessments needed. Specific fees will be discussed prior to services being rendered.

6.2 Payment Terms

  • Consultation fees are due at time of service
  • We accept credit cards, debit cards, and other standard payment methods
  • Payment plans may be available for ongoing treatment

6.3 Insurance

We accept a wide range of insurance plans. You are responsible for verifying your insurance coverage. We can provide itemized receipts for insurance submission, though coverage is not guaranteed for all services.

6.4 Non-Payment and Collections

If payment is not received, we will attempt to collect via phone, email, and mail. Services may be suspended until payment is received. Accounts may be referred to a collections agency, and you will be responsible for collections costs and attorney fees.

6.5 Refund Policy

Consultation fees are non-refundable if you fail to attend an appointment without 24-hour cancellation notice. Refunds for legitimate cancellations (with 24+ hour notice) may be issued within 30 days.

7. PRESCRIPTION AND MEDICATION MANAGEMENT

Our medical providers are fully licensed to prescribe medications in Texas. You are responsible for reading all medication packaging and instructions carefully, understanding proper administration methods, following dosage instructions exactly as prescribed, and storing medications according to requirements.

If you experience side effects or adverse reactions, stop taking medication if directed by packaging warnings, immediately contact our office, seek emergency care for severe reactions, and do not adjust dose without physician guidance.

8. PATIENT PORTAL AND TECHNOLOGY

You will be provided login credentials for a secure patient portal containing your medical records, lab results, and messages. You are responsible for maintaining confidentiality of login credentials, creating a strong password, not sharing your login information, and notifying us immediately of unauthorized access.

We are not responsible for your internet connection outages, device failures, browser compatibility problems, or delays due to your technology limitations.

9. PRIVACY, CONFIDENTIALITY, AND HIPAA

Our Privacy Policy (incorporated by reference) governs all collection and use of your personal and health information. You must review and accept the Privacy Policy to use our services.

Key Privacy points: All health information is HIPAA protected. Information is used only for treatment, payment, and operations. Information is not sold or shared for marketing. You have rights to access, amend, and request restrictions on use. We maintain secure encryption and security measures. We notify you within 60 days if your information is breached.

9.2 SMS and Communication Consent

By providing your phone number, you consent to receive healthcare-related text messages. You can cancel the SMS service at any time by texting “STOP.” For assistance, reply with “HELP” or contact us at info@highlandprimarycare.net. Carriers are not liable for delayed or undelivered messages. Standard message and data rates may apply. For privacy-related inquiries, please refer to our Privacy Policy.

10. LIMITATION OF LIABILITY AND DISCLAIMERS

10.1 Medical Disclaimer

IMPORTANT: While we provide high-quality medical care, our services have inherent limitations. We do not guarantee specific health outcomes, diagnosis accuracy, resolution of symptoms, or achievement of specific health goals. Outcomes depend on many factors including your individual physiology, compliance with treatment recommendations, lifestyle factors, and overall health status.

10.2 No Warranty

We provide services “as is” without warranty of any kind, express or implied. We do not warrant that services will meet your expectations, be error-free or uninterrupted, or that treatments will be effective for your condition.

10.3 Liability Limitations

To the maximum extent permitted by law, Highland Primary Care is not liable for any direct, indirect, incidental, special, or consequential damages, lost profits or data, damage to your reputation, or damages from medication side effects, technical issues, or service interruptions. Your sole remedy is discontinuation of services and refund of unused fees.

11. TERMINATION OF SERVICES

11.1 Termination by You

You may discontinue services at any time by notifying us in writing, requesting final records transfer, and settling any outstanding balances. We will provide a final summary of care and medical records within 30 days.

11.2 Termination by Highland Primary Care

We may discontinue your care for non-payment of fees (after 30-day notice), violation of Terms and Conditions, dishonest or abusive behavior toward staff, non-compliance with treatment recommendations, unsafe or illegal use of medications, or medical conditions outside our scope of practice. We will provide written notice and a minimum 30-day transition period.

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Informal Resolution

Before pursuing legal action, you agree to attempt informal resolution by contacting our office with a specific complaint. We will respond within 30 business days and work toward a mutually acceptable resolution.

12.2 Binding Arbitration

If the dispute is not resolved through our grievance process, you and Highland Primary Care agree to binding arbitration rather than court proceedings. Arbitration will be conducted by a single arbitrator in Texas, with each party bearing their own attorney fees unless the arbitrator awards them. The arbitration decision is binding and final.

12.3 Class Action Waiver

You agree that any arbitration or court proceeding will be conducted on an individual basis, NOT as a class action. You waive the right to participate in class action suits.

13. INTELLECTUAL PROPERTY

All content on our website including text, graphics, logos, images, software, medical information, and educational materials are owned by Highland Primary Care and protected by copyright law. We grant you a limited, non-exclusive license to view content for personal, non-commercial use. You may NOT reproduce, modify, or distribute content without permission, use content for commercial purposes, or use automated tools to harvest or scrape content.

14. REPRESENTATIONS AND WARRANTIES

14.1 Your Representations

You represent and warrant that you have read and understood these Terms, you have authority to accept these Terms, you will comply with all applicable laws, your use of services is lawful, and your medical history information is truthful and complete.

14.2 Our Representations

We represent and warrant that our providers hold active Texas Medical Board licenses, we have appropriate liability insurance, we comply with HIPAA and applicable healthcare regulations, we will provide services in a professional manner consistent with the standard of care, and we will maintain patient confidentiality.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Highland Primary Care, our providers, and our staff from any claims, damages, or losses arising from your violation of these Terms, your use of services in an unlawful manner, your violation of any applicable law, your negligence or intentional misconduct, third-party claims related to your conduct, or your misuse of medications or treatments.

16. SEVERABILITY

If any provision of these Terms is found to be unenforceable by a court, that provision will be severed and the remaining terms will remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Highland Primary Care regarding your use of services. All prior negotiations, understandings, and agreements are superseded by this Agreement.

18. GOVERNING LAW AND JURISDICTION

  • These Terms are governed by Texas law
  • Any disputes are subject to binding arbitration as outlined in Section 12
  • Texas courts will have jurisdiction over arbitration proceedings
  • You waive any objections to venue in Texas

20. ACKNOWLEDGMENT OF UNDERSTANDING

By using Highland Primary Care services, you acknowledge and agree that:

  • You have read these Terms and Conditions in their entirety
  • You have read the Privacy Policy and understand HIPAA protections
  • You understand fees and payment terms
  • You agree to provide accurate medical information
  • You agree to comply with all recommendations
  • You understand our liability limitations
  • You agree to submit disputes to binding arbitration
  • You understand TCPA/SMS compliance requirements
  • You consent to receive SMS communications for healthcare purposes
  • Your use of services is entirely voluntary and at your own risk
